LogicGlue Terms of Service

These Terms of Service (Terms) govern your access to and use of LogicGlue.

LogicGlue is operated by Ukufu Pty Ltd (ACN 635 189 874) (LogicGlue, we, us or our).

By creating a LogicGlue account, subscribing to the Service, clicking to accept these Terms, or otherwise using the Service, you agree to these Terms and our Privacy Policy.

If you use LogicGlue on behalf of a business or other organisation, you represent that you have authority to bind that organisation to these Terms. In that case, references to you include that organisation.

1. About LogicGlue

1.1 The Service

LogicGlue is a software service that enables users to access, analyse and interact with data from Xero, Xero Practice Manager (XPM) and other supported data sources using artificial intelligence and related technologies (the Service).

Depending on your plan and the features you choose to use, LogicGlue may provide functionality including:

  1. access to and analysis of authorised Xero and XPM data;
  2. AI-generated answers, analysis, reports and other outputs;
  3. web and mobile applications;
  4. integrations with third-party AI services, including through the LogicGlue Claude Connector;
  5. access to selected external information and data sources;
  6. optional caching functionality;
  7. optional functionality that allows authorised users to create, update or delete data in connected services; and
  8. other features that we make available from time to time.

1.2 Changes to the Service

LogicGlue is an evolving service. We may add, modify, replace or discontinue features from time to time.

Where a change materially reduces the core functionality of a paid Service you are using, we will use reasonable efforts to provide reasonable notice unless the change is required urgently for security, legal, regulatory or third-party-service reasons.

1.3 Third-party dependencies

Some LogicGlue functionality depends on third-party platforms, APIs and services.

Changes made by third parties may affect the availability, functionality or performance of LogicGlue. Third-party services are operated independently of LogicGlue and are outside our direct control.

2. Eligibility and Accounts

2.1 Eligibility

You may only use LogicGlue if you are legally capable of entering into a binding agreement.

2.2 Account information

You must provide accurate and current information when creating and maintaining your account.

2.3 Account security

You are responsible for maintaining the confidentiality and security of your account credentials.

You must notify us promptly if you become aware of unauthorised access to or use of your LogicGlue account.

2.4 Authorised Users

Where your subscription allows multiple users, you may permit authorised employees, contractors or other users to access your LogicGlue account (each an Authorised User).

You are responsible for ensuring that your Authorised Users comply with these Terms.

You must not share individual login credentials between users.

2.5 Authority to access data

You must have all necessary rights, permissions and authority to:

  1. connect any Xero, XPM or other organisation to LogicGlue;
  2. access the data made available through that organisation;
  3. permit LogicGlue to process that data; and
  4. where Write Access is enabled, make or authorise changes to that data.

You must ensure that you have all necessary rights, permissions and authority where Customer Data relates to clients, employers or other third parties.

3. Connecting Xero, XPM and Other Services

3.1 Authorisation

LogicGlue only accesses organisations and third-party services that you have authorised or connected.

3.2 Xero authentication

LogicGlue uses Xero's authorised authentication and API mechanisms to connect to Xero and XPM.

LogicGlue does not require you to provide your Xero password to LogicGlue.

3.3 Disconnecting services

You may disconnect supported third-party services from LogicGlue using available account or integration settings.

Once an integration is disconnected, LogicGlue will no longer be able to obtain new data from that integration unless it is reconnected.

3.4 Third-party account restrictions

Access to data through LogicGlue may be subject to permissions and restrictions imposed by the connected third-party service.

4. Customer Data

4.1 Definition

Customer Data means information, data or content:

  1. provided by you to LogicGlue; or
  2. accessed by LogicGlue from Xero, XPM or another third-party service with your authorisation.

4.2 Ownership

As between you and LogicGlue, you retain your rights in your Customer Data.

LogicGlue does not acquire ownership of your Customer Data merely because you use the Service.

4.3 Permission to process Customer Data

You grant LogicGlue a non-exclusive right to access, process, transmit, display and, where applicable, temporarily store Customer Data to the extent reasonably necessary to:

  1. provide the Service;
  2. respond to your requests;
  3. operate and secure the Service;
  4. provide technical support;
  5. comply with applicable law; and
  6. perform other activities described in our Privacy Policy.

4.4 Responsibility for Customer Data

You are responsible for ensuring that you have lawful authority to provide or authorise access to Customer Data.

You must not use LogicGlue to access information you are not authorised to access.

5. Artificial Intelligence and Outputs

5.1 AI-generated Output

LogicGlue uses artificial intelligence and automated technologies to generate answers, analysis, reports, summaries, recommendations and other content (collectively, Output).

5.2 AI may make mistakes

Artificial intelligence systems are probabilistic and may produce inaccurate, incomplete, inconsistent, misleading or outdated Output.

The same or similar query may produce different Output at different times.

LogicGlue does not guarantee that any Output is correct, complete or suitable for a particular purpose.

Output generated by the Service does not represent a decision, determination or professional judgment made by LogicGlue on your behalf.

5.3 Verification

You are responsible for reviewing and verifying Output before relying on it or using it to make decisions.

You should independently verify important financial, accounting, tax, payroll, legal, compliance or business information.

5.4 No professional advice

LogicGlue is a technology service.

LogicGlue and its Output are provided for informational purposes and do not constitute accounting, tax, financial, investment, legal or other professional advice.

LogicGlue is not a substitute for advice from an appropriately qualified professional.

5.5 Responsibility for Decisions and Actions

You remain responsible for evaluating the Output and for any decisions, actions or omissions arising from or in connection with your use of the Service or reliance on the Output.

To the extent permitted by law, LogicGlue is not responsible for decisions made, or actions taken or not taken, by you or any third party in reliance on Output generated through the Service.

Nothing in this clause excludes, restricts or modifies any right, guarantee or liability that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or other applicable law.

5.6 Use of Output

Subject to applicable law and any third-party rights, you may use Output generated through LogicGlue for your personal or business purposes.

LogicGlue does not guarantee that any Output is unique or that you will own, or be able to claim, copyright or other intellectual property rights in that Output. Similar or identical Output may also be generated for other users.

6. Write Access

6.1 Read-only by default

LogicGlue's access to connected Xero and XPM data is read-only by default unless you expressly enable functionality that permits data to be changed.

6.2 Enabling Write Access

Where available, you may choose to enable Write Access.

Write Access may allow LogicGlue or supported integrations used through LogicGlue to create, update or delete information in an authorised Xero or XPM organisation.

6.3 Your responsibility

Before requesting or confirming an action using Write Access, you are responsible for:

  1. ensuring that you have authority to perform the action;
  2. reviewing the requested action;
  3. checking relevant information for accuracy; and
  4. ensuring that the requested action is appropriate.

6.4 Authorisation of Write Actions

By requesting, approving or confirming an action using Write Access, whether through LogicGlue or a supported third-party integration, you authorise LogicGlue and any applicable integrated service to carry out that action on your behalf.

You are responsible for ensuring that any instruction submitted through Write Access accurately reflects the action you intend to perform.

6.5 AI and Write Access

You acknowledge that instructions involving AI may be misunderstood or may produce unexpected results.

You should carefully review transactions and changes made using Write Access.

6.6 Reversibility

Some actions taken through Write Access may not be easily reversible.

Where appropriate, you should maintain suitable records or backups within the relevant third-party system.

6.7 Disabling Write Access

You may disable Write Access using the controls made available within LogicGlue.

7. Caching

7.1 Optional caching

LogicGlue may provide optional caching functionality.

Where caching is enabled, LogicGlue may securely store encrypted copies of selected Customer Data previously retrieved from Xero or XPM in connection with your use of LogicGlue.

7.2 Purpose

Caching is intended to improve performance and reduce repeated requests to third-party APIs.

7.3 Data freshness

Cached information may not reflect changes made recently in Xero or XPM.

If current information is important, you should use the available functionality to request fresh data or disable caching where appropriate.

7.4 Disabling caching

You may disable caching at any time using the controls available within LogicGlue.

When caching is disabled, Customer Data previously stored in the LogicGlue cache will be deleted unless that cached data is still in use by another LogicGlue user who is authorised to access the same Xero organisation and has caching enabled.

If the cached data remains in use by another authorised user, it will be retained for so long as it is required for that user's caching functionality. Disabling caching for your account means that LogicGlue will no longer use cached data for your requests and will retrieve relevant data directly from the applicable connected service when required.

7.5 Queries and AI responses

Our handling of your queries, AI responses and cached data is described in our Privacy Policy and relevant product documentation.

8. Third-Party Services

8.1 Integrations

LogicGlue may interact with third-party products and services, including services provided by organisations such as Xero, OpenAI, Anthropic/Claude, Stripe and other providers.

8.2 Data transmission

When you enable or use a third-party integration, information reasonably necessary to perform your request may be transmitted to that provider.

8.3 Third-party terms

Your use of a third-party service may also be subject to that provider's own terms, policies and account requirements.

8.4 Third-party availability

Third-party services are provided and operated independently of LogicGlue. Accordingly, we cannot guarantee their continued availability, functionality or performance.

A third party may:

  1. change or discontinue an API;
  2. change its terms or technical requirements;
  3. restrict access;
  4. experience outages; or
  5. change its products.

Such events may affect LogicGlue.

8.5 Third-party subscriptions

Certain integrations may require a separate subscription directly with the third-party provider.

Where this applies, the relevant third-party fees are separate from your LogicGlue subscription.

9. Acceptable Use

You must not use LogicGlue to:

  1. breach any applicable law or regulation;
  2. infringe another person's intellectual property, privacy or other rights;
  3. access data or accounts without appropriate authority;
  4. introduce malicious software or harmful code;
  5. interfere with, disrupt or overload the Service;
  6. circumvent usage limits, security systems, authentication mechanisms or access controls;
  7. attempt to gain unauthorised access to LogicGlue systems or infrastructure;
  8. probe, scan or test vulnerabilities without our written permission;
  9. reverse engineer, decompile or attempt to derive the source code of LogicGlue except to the extent such restriction is prohibited by law;
  10. scrape or systematically extract content or data from LogicGlue using automated means except through functionality or APIs expressly provided by us;
  11. resell, sublicense, white-label or commercially redistribute the Service unless we have agreed to this in writing;
  12. use the Service to impersonate another person or misrepresent your authority; or
  13. use LogicGlue in a manner reasonably likely to harm the Service or other users.

10. Intellectual Property

10.1 LogicGlue intellectual property

LogicGlue and its licensors retain all rights, title and interest in:

  1. the LogicGlue software;
  2. website and applications;
  3. source code and object code;
  4. designs and interfaces;
  5. documentation;
  6. trademarks and branding;
  7. proprietary processes and technology; and
  8. improvements and developments relating to those materials.

10.2 Licence to use LogicGlue

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive and non-transferable right to use LogicGlue during your subscription for your internal personal or business purposes.

10.3 Feedback

If you voluntarily provide ideas, suggestions or feedback about LogicGlue, you agree that we may use that feedback to improve or develop our products without an obligation to compensate you.

This does not give us ownership of your Customer Data.

11. Privacy and Security

11.1 Privacy Policy

Our collection, use, disclosure and handling of personal information is governed by our Privacy Policy.

11.2 Security

We use reasonable technical and organisational measures designed to protect Customer Data and the Service.

However, no internet-based service, computer system or method of electronic transmission can be guaranteed to be completely secure.

11.3 Your security responsibilities

You must take reasonable steps to protect your credentials, devices and systems used to access LogicGlue.

11.4 Security incidents

If a security incident occurs, we will respond in accordance with applicable law.

12. Subscriptions and Billing

12.1 Paid subscriptions

Access to some or all LogicGlue functionality requires a paid subscription.

Current plans and pricing are displayed on our pricing page or otherwise provided to you before purchase.

12.2 Recurring subscription

Unless otherwise stated when you subscribe, paid subscriptions automatically renew for successive billing periods until cancelled.

By subscribing, you authorise us and our payment provider to charge the applicable subscription fee to your nominated payment method at each renewal.

12.3 Free trials

We may offer free trials.

The duration of a trial, the payment information required and the subscription that will apply following the trial will be disclosed when you sign up.

Where your trial requires payment details and is stated to convert automatically to a paid subscription, you will be charged the applicable subscription fee when the trial ends unless you cancel before the end of the trial.

12.4 Cancellation

You may cancel your paid subscription at any time using the cancellation functionality within LogicGlue or by contacting us.

Unless otherwise stated at the time of purchase:

  1. cancellation stops future renewals;
  2. you may continue to use the paid Service until the end of your current paid billing period; and
  3. cancellation does not retrospectively refund amounts already paid.

12.5 Refunds

Except where required by the Australian Consumer Law or other applicable law, subscription fees already paid are non-refundable.

Nothing in this clause limits any statutory right you may have to a refund, remedy or compensation.

12.6 Failed payments

If a payment fails, we may:

  1. ask you to update your payment information;
  2. retry payment;
  3. restrict paid functionality; or
  4. suspend your subscription after giving reasonable notice.

12.7 Taxes

Prices will state whether applicable taxes, including GST, are included or additional.

12.8 Price changes

We may change subscription prices from time to time.

We will provide reasonable advance notice of a price increase applying to an existing paid subscription.

Unless required otherwise by law, a price increase will apply no earlier than your next renewal following the notice period.

You may cancel your subscription before the increased price takes effect.

12.9 Usage Limits

Certain plans or features may be subject to usage limits, including limits relating to queries, users, connected organisations, AI usage, conversation time, data processing or other functionality. Applicable limits may be displayed on our pricing page, within the Service or otherwise communicated to you.

We may apply reasonable technical or usage limits where necessary to protect the security, stability, performance or fair use of the Service.

12.10 Plan Changes

You may change your subscription plan where that functionality is available. Any change in fees, features or usage limits resulting from a plan change will be disclosed to you before the change takes effect.

13. Australian Consumer Law and Non-Excludable Rights

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, condition, warranty, right or remedy that cannot lawfully be excluded, restricted or modified, including under the Competition and Consumer Act 2010 (Cth) and the Australian Consumer Law.

Any rights and remedies provided under these Terms are in addition to any rights and remedies available to you under applicable law.

14. Availability and Service Performance

14.1 Availability

We aim to make LogicGlue reliable and available but do not guarantee uninterrupted or error-free operation.

14.2 Maintenance

We may temporarily restrict access for maintenance, upgrades, security or technical reasons.

Where reasonably practicable, we will seek to minimise disruption.

14.3 Internet and third-party failures

LogicGlue may be affected by circumstances outside our reasonable control, including:

  1. internet or telecommunications failures;
  2. cloud infrastructure failures;
  3. Xero or XPM outages;
  4. third-party API failures;
  5. AI-provider outages;
  6. cyberattacks;
  7. natural disasters;
  8. government action; or
  9. other events beyond our reasonable control.

We will use reasonable efforts to restore affected functionality where the issue is within our control.

15. Beta, Preview and Experimental Features

We may make features available on a beta, preview, experimental, early-access or similar basis.

Such features may:

  1. contain errors;
  2. change significantly;
  3. be less reliable than generally available functionality; or
  4. be discontinued.

We will identify such functionality where reasonably practicable.

Nothing in this clause limits any statutory rights that cannot lawfully be excluded.

16. Disclaimer

Subject to the Australian Consumer Law and any other rights that cannot legally be excluded:

  1. LogicGlue is provided on an "as available" basis;
  2. we do not guarantee that the Service will always be uninterrupted, error-free or available;
  3. we do not guarantee the accuracy or completeness of AI-generated Output;
  4. we do not guarantee that third-party information or services will be accurate or continuously available; and
  5. you remain responsible for verifying information where accuracy is important.

17. Limitation of Liability

17.1 Non-excludable liability

Nothing in these Terms excludes or limits liability to the extent that doing so would be unlawful.

17.2 Excluded losses

To the extent permitted by law, neither party will be liable to the other for indirect or consequential loss arising from these Terms or the Service.

To the extent permitted by law, LogicGlue will not be liable for loss of profit, revenue, goodwill or business opportunity that is indirect or consequential.

17.3 Liability cap

Subject to clauses 17.1 and 17.4, and to the extent permitted by law, LogicGlue's aggregate liability arising out of or in connection with the Service or these Terms will not exceed the greater of:

  1. the total fees paid or payable by you to LogicGlue during the 12 months immediately preceding the event giving rise to the claim; and
  2. AUD $100 where you have not paid any fees.

17.4 Liability not capped

The limitation in clause 17.3 does not apply to liability to the extent that it cannot lawfully be limited or excluded.

17.5 Consumer guarantees

Where the Australian Consumer Law permits liability for a failure to comply with a consumer guarantee to be limited, our liability is limited, at our option and to the extent permitted by law, to:

  1. supplying the relevant services again; or
  2. paying the reasonable cost of having the relevant services supplied again.

18. Indemnity

You indemnify LogicGlue against reasonable losses, liabilities, damages and costs arising from a third-party claim resulting from:

  1. your unlawful use of the Service;
  2. your material breach of these Terms;
  3. Customer Data that infringes the rights of another person;
  4. your unauthorised access to another person's data or account; or
  5. actions that you knowingly or negligently authorise through Write Access without having appropriate authority.

Your liability under this indemnity is reduced to the extent that the relevant loss was caused or contributed to by LogicGlue's negligence, breach of these Terms or unlawful conduct.

19. Suspension

We may suspend some or all access to LogicGlue where reasonably necessary because:

  1. your subscription fees are overdue;
  2. we reasonably believe your account has been compromised;
  3. your use presents a material security risk;
  4. your use is unlawful;
  5. you materially breach these Terms;
  6. suspension is required by law; or
  7. suspension is reasonably necessary to protect LogicGlue, its users or third parties.

Where appropriate and reasonably practicable, we will notify you and provide an opportunity to remedy the issue.

20. Termination

20.1 Termination by you

You may stop using LogicGlue and cancel your subscription at any time.

20.2 Termination by LogicGlue for breach

We may terminate your account if you materially breach these Terms and:

  1. the breach cannot reasonably be remedied; or
  2. where the breach can be remedied, you fail to remedy it within a reasonable period after we notify you.

We may terminate immediately where reasonably necessary because of fraud, illegal activity, serious security risks or conduct likely to cause material harm.

20.3 Discontinuation of LogicGlue

We may discontinue the Service.

If we discontinue a paid Service generally and you have prepaid for a period extending beyond the discontinuation date, we will refund the unused portion of the prepaid subscription fee unless another remedy is agreed with you.

20.4 Effect of termination

Following termination:

  1. your right to use LogicGlue ends;
  2. applicable outstanding fees remain payable;
  3. provisions intended by their nature to survive termination continue to apply; and
  4. Customer Data will be handled in accordance with our Privacy Policy and applicable law.

20.5 Account deletion

If you request deletion of your LogicGlue account, we will delete your LogicGlue account and associated data within 14 days, in accordance with our Privacy Policy and account-deletion procedures, subject to any information we are required or permitted to retain for legal, regulatory, security, billing or audit purposes.

Deleting your LogicGlue account does not delete or modify data held in your Xero, XPM or other connected third-party accounts.

21. Changes to These Terms

We may amend these Terms from time to time.

For minor changes, clarifications or changes that do not materially adversely affect your rights, we may update these Terms by publishing the revised version.

If we make a material change that adversely affects your rights or obligations under an existing paid subscription, we will provide reasonable notice before the change takes effect.

You may cancel your subscription before such a material change takes effect.

We may make changes immediately where reasonably necessary to comply with law, address a security risk or respond to an urgent third-party requirement.

22. Disputes

22.1 Contact us first

If a dispute arises, either party may give the other written notice describing:

  1. the dispute;
  2. the relevant facts; and
  3. the outcome sought.

22.2 Good-faith negotiation

The parties will use reasonable efforts to resolve the dispute through good-faith negotiation.

22.3 Mediation

If the dispute has not been resolved within 30 days after notice, either party may propose mediation in New South Wales.

The parties may agree on a mediator and the arrangements for mediation.

22.4 Court proceedings

Nothing in this clause prevents either party from:

  1. seeking urgent interlocutory or injunctive relief;
  2. exercising rights under the Australian Consumer Law;
  3. making a complaint to a regulator; or
  4. commencing proceedings where a limitation period or other legal requirement makes that reasonably necessary.

23. Governing Law

These Terms are governed by the laws of New South Wales, Australia.

Subject to any law that provides otherwise, the parties submit to the jurisdiction of the courts of New South Wales and courts entitled to hear appeals from those courts.

24.2 Notices to you

We may send notices to the email address associated with your LogicGlue account or provide notices within the Service where appropriate.

You are responsible for keeping your contact information current.

25. General

25.1 Entire agreement

These Terms, together with documents expressly incorporated by reference including our Privacy Policy and any plan-specific terms presented when you subscribe, constitute the agreement between you and LogicGlue concerning the Service.

25.2 No waiver

A failure or delay in exercising a right under these Terms does not waive that right.

25.3 Inconsistency

If there is any inconsistency between these Terms and any plan-specific terms or other written terms expressly agreed between you and LogicGlue, the more specific terms will prevail to the extent of the inconsistency.

25.4 Severability

If a provision of these Terms is invalid or unenforceable, it will be read down to the minimum extent necessary where possible.

If it cannot be read down, it will be severed without affecting the remaining provisions.

25.5 Assignment

You may not assign your rights under these Terms without our prior written consent, which we will not unreasonably withhold.

We may assign these Terms as part of a bona fide corporate restructure, merger, acquisition or sale of all or substantially all of the relevant business, provided that the assignment does not materially reduce your rights under these Terms.

25.6 Relationship

These Terms do not create a partnership, joint venture, employment, agency or fiduciary relationship between you and LogicGlue.

25.7 Headings

Headings are provided for convenience and do not affect interpretation.
